Momentum Coach has its registered offices in Toronto, Ontario, Canada. The Platforms are owned and edited by Momentum Coach.
These Terms of Use govern your use of Momentum Coach websites and applications (together the “Platform"s”). In these Terms of Use, we use the term Momentum Coach (and “we”, “us” and “our”) to refer to the head office at the registered address above and its affiliates.
Please read these Terms of Use carefully before using the Platforms. By using the Platforms, you signify your assent and agreement to these Terms of Use. If you do not agree to the Terms of Use, then you are not authorized to continue use of the Platforms.
These Terms and Conditions govern access to and use of the Momentum Coach website, advisory services, booking systems, digital products, written materials, workshops, trainings, communications, and related platforms.
By accessing the website, submitting an inquiry, booking a service, purchasing a product, attending a session, downloading materials, registering for an event, or otherwise engaging with Momentum Coach, you agree to these Terms and Conditions, the Privacy Policy, the Conditions of Sale, and any written service agreement that applies to your engagement.
If you do not agree with these Terms and Conditions, do not use the website or services.

We may make changes from time to time to these Terms of Use so please check back regularly to keep informed of updates. The latest version of these Terms of Use will always be available on the Platform. Any new version of these Terms of Use shall take effect and will govern the use of the Platform and your relationship with us immediately upon the date of posting.
Momentum Coach may update these Terms and Conditions from time to time. The updated version will be posted on the website with a revised effective date. By continuing to use the Platform, you agree to be bound by the terms of these updates and amendments, subject to applicable law.
These Terms and Conditions are governed by the laws of Ontario and the applicable federal laws of Canada. Any dispute will be addressed in Ontario unless a written agreement or mandatory consumer protection law provides otherwise.

Hosting services for our website are provided by Squarespace, Inc., located in New York, USA.
Mobile applications may be hosted by us or by other companies, and you should refer to the relevant conditions of such other company.

Momentum Coach provides professional advisory services. Services may include behavioural strategy, grief- and trauma-informed communication planning, litigation-support coordination, client-readiness support, estate-adjacent coordination, transition support, documentation support, organizational advisory, training, performance advisory, and professional collaboration support.
Momentum Coach services are advisory, educational, strategic, administrative, and operational in nature.
Momentum Coach is not a law firm, regulated health clinic, psychotherapy practice, psychological assessment practice, financial institution, accounting firm, fiduciary office, or emergency service provider.
Momentum Coach does not provide legal advice, legal opinions, legal representation, psychotherapy, counselling, psychological assessment, diagnosis, treatment, medical advice, financial planning, investment advice, tax advice, accounting advice, estate trustee services, fiduciary services, crisis intervention, suicide intervention, or emergency support.
No lawyer-client, therapist-client, psychologist-client, physician-patient, financial advisor-client, accountant-client, fiduciary, or regulated professional relationship is created by using the website or services.

Confidentiality and legal privilege are separate concepts. Information may be confidential without being protected by solicitor-client privilege, litigation privilege, settlement privilege, or another legal privilege.
When Momentum Coach is retained directly by a client, communications with Momentum Coach are confidential but are not automatically privileged. When Momentum Coach is retained by licensed counsel, or formally engaged under counsel’s direction for the dominant purpose of assisting legal advice or litigation preparation, privilege may be asserted by the client or counsel where legally available.
Privilege depends on the facts of the engagement, the purpose of the work, the retainer structure, the role assigned by counsel, the handling of communications, the treatment of records, and applicable law. Momentum Coach does not independently guarantee that any communication, note, report, summary, email, document, meeting record, advisory material, or work product will be privileged.

Where a matter may involve privilege, clients should obtain instructions from licensed counsel before sending documents, forwarding communications, copying third parties, recording meetings, disclosing sensitive information, circulating summaries, or sharing Momentum Coach materials.
Counsel-directed work should be confirmed in writing before services begin. The written arrangement should identify the retaining lawyer or law firm, the client, the purpose of the engagement, the scope of work, communication channels, document-handling expectations, reporting structure, and any privilege protocol counsel wishes to apply.
Momentum Coach may pause or decline work where the privilege status is unclear, where counsel direction is required but absent, where professional roles are unclear, or where the engagement may create legal, confidentiality, regulatory, or reputational risk.

Momentum Coach does not practise law, represent clients in court or before tribunals, draft pleadings as counsel, provide legal opinions, interpret legal rights for the purpose of legal advice, or replace advice from a licensed lawyer.
Information provided by Momentum Coach about legal systems, litigation processes, professional communication, client-readiness, decision preparation, document organization, or counsel coordination is general, strategic, educational, administrative, or operational in nature.
Clients are responsible for obtaining legal advice from a licensed lawyer where legal rights, obligations, remedies, limitation periods, court procedure, evidence, disclosure, settlement, pleadings, privilege, estate matters, family law, employment law, immigration law, criminal law, regulatory matters, or other legal matters are involved.

Momentum Coach may provide grief-informed, trauma-informed, and behaviourally informed advisory support. This means that services may consider how grief, stress, trauma exposure, uncertainty, conflict, and major life transition can affect communication, planning, decision-making, and professional engagement.
Momentum Coach offers coaching, counseling, and personal development services. Coaching is not a replacement for therapy or medical treatment. Any guidance provided is for educational and coaching purposes only and should not be considered professional clinical, medical, legal, or financial advice. If you require such services, please consult a licensed professional in your jurisdiction.
This work remains advisory, and is not clinical care.
Momentum Coach does not assess, diagnose, treat, or monitor mental health conditions. Momentum Coach does not provide clinical safety planning, suicide-risk assessment, psychiatric support, medical recommendations, medication advice, or treatment plans.

Momentum Coach does not provide services to minors or about minors unless appropriate legal authority, consent, scope, and safeguards have been confirmed in advance.
Where a matter involves a child or youth, the requesting adult is responsible for confirming that they have legal authority to request services, disclose information, provide documents, and authorize communication with Momentum Coach.
Momentum Coach does not conduct child interviews for legal evidence, custody assessment, parenting assessment, clinical assessment, capacity assessment, psychological testing, diagnosis, treatment, or expert opinion purposes.

Customers or clients purchasing products online or by phone through Momentum Coach must read the Conditions of Sale, which will govern the terms and conditions of any such purchases. The provisions entitled "Limitation of liability" below do not cover the sale of products or services online over the phone and please refer to the Conditions of Sale for the relevant exclusions and limitations of liability.

You are not authorized to sell, reproduce, distribute, communicate, modify, display, publicly perform, report or otherwise prepare derivative or second-hand works based on or use any Momentum Coach Material in any way for any public or commercial purposes. Furthermore, Momentum Coach Material may not be displayed or communicated on any other platform, in a networked computer environment or on any other digital platform for any purpose whatsoever. In the event of breach of any of these Terms of Use, your permission to use Momentum Coach Material will automatically terminate and any copies made of Momentum Coach Material must be immediately destroyed. Any unauthorized use of Momentum Coach Material may infringe copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

This section applies to the Site and other digital platforms and client services and does not govern any products that may be sold online or by phone by local or regional markets.
We are not liable for any direct or indirect damages resulting from the use of our services. Coaching and counselling provided by Momentum Coach are for educational and personal development purposes only and should not be interpreted as professional medical, financial, legal, or psychological advice. Momentum Coach disclaims all liability for any decision made based on information or insights gained through our services. Coaching and counselling are not substitutes for clinical, medical, financial, legal, or other regulated professional services. However, Momentum Coach does not warrant or represent that the Momentum Coach Material is accurate, error-free, or reliable, nor that use of Momentum Coach Material will not infringe the rights of third parties.
Momentum Coach does not warrant that the functional and/or technical aspects of the Site or the Momentum Coach Material will be error-free, or that the Site, Momentum Coach Material, or the servers that make them available are free of viruses or other harmful components. If use of the Site or Momentum Coach Material results in the need for servicing or replacing property, material, equipment, data, or other elements, Momentum Coach is not responsible for those costs. To the fullest extent permitted by applicable law, Momentum Coach shall not be liable for any indirect, incidental, special, or consequential damages of any kind arising out of or in connection with the use of information available from the Site or any liability relating to any loss of use, interruption of business, lost profits, or lost data, regardless of the form of action, whether in contract, tort (including negligence) or otherwise, even if Momentum Coach has been advised of the possibility of such damages.
Please note that in some jurisdictions, consumer protection laws may not allow certain exclusions or limitations of warranties or liabilities, and consequently, some of the above exclusions and limitations may not apply.
Momentum Coach provides advisory support, strategic preparation, behavioural insight, grief- and trauma-informed communication planning, organizational support, and practical structure.
Momentum Coach does not guarantee legal outcomes, court outcomes, settlement outcomes, estate outcomes, family outcomes, health outcomes, emotional outcomes, financial outcomes, business outcomes, employment outcomes, organizational outcomes, regulatory outcomes, or decisions by third parties.
Any examples, testimonials, case-style descriptions, frameworks, or service descriptions are illustrative only. Results depend on individual circumstances, available information, timing, complexity, client participation, professional advice, third-party decisions, and factors outside Momentum Coach’s control.
To the maximum extent permitted by applicable law, Momentum Coach is not liable for indirect, incidental, special, consequential, punitive, exemplary, reputational, business, emotional, financial, or data-related damages arising from use of the website or services.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including non-waivable consumer protection rights.
You agree to indemnify and hold harmless Momentum Coach, its directors, officers, contractors, representatives, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the website or services, breach of these Terms, unauthorized disclosure of information, infringement of rights, unlawful conduct, or misuse of Momentum Coach materials.

Momentum Coach may review each inquiry for service fit, scope, conflict of interest, safety, confidentiality, privilege, regulatory, payment, and professional-boundary concerns.
Momentum Coach may decline, pause, limit, or terminate services where there is a conflict of interest, potential conflict of interest, unclear authority, safety concern, inappropriate purpose, legal or regulatory concern, non-payment, abusive conduct, misuse of services, dishonesty, harassment, unreasonable demands, poor service fit, or a request outside Momentum Coach’s scope.
Momentum Coach may also decline or terminate services where the client requires legal advice, psychotherapy, medical care, crisis support, psychological assessment, capacity assessment, fiduciary services, financial advice, tax advice, accounting advice, emergency support, or another regulated service.
Users and clients must not use the website or services for unlawful, abusive, harassing, defamatory, fraudulent, exploitative, misleading, threatening, discriminatory, privacy-invasive, or rights-infringing purposes.
Users and clients must not submit information they are not authorized to disclose. Users and clients must not record sessions, copy materials, publish private communications, disclose confidential advisory materials, or use Momentum Coach materials outside the authorized scope without written permission, unless legally required.

In general, all trademarks, logos and service marks (collectively the "Trademarks") that appear on the Platforms are registered, unregistered or otherwise protected Momentum Coach trademarks or are licensed for use by Momentum Coach by third parties. Other trademarks are proprietary marks and are registered to their respective owners. Nothing contained on the Platforms should be construed as granting, by implication or otherwise, any license or right to use any trademark without Momentum Coach’s prior written permission or that of such third party who owns the trademark. Misuse of any trademark displayed on the Platforms, or any other content on the Platforms, except as provided herein, is strictly prohibited.
All website content, written materials, frameworks, worksheets, training materials, slides, templates, methods, service descriptions, trade names, proprietary models, text, graphics, recordings, digital products, and other materials are owned by or licensed to Momentum Coach unless otherwise stated.
Clients may use materials provided to them only for their own authorized personal or internal business purposes. No client or website user may copy, publish, distribute, resell, license, teach, train from, adapt, scrape, upload, reproduce, or create derivative commercial products from Momentum Coach materials without written permission.

Momentum Coach is not responsible for third-party platform outages, errors, security incidents, policy changes, service limitations, or data practices outside Momentum Coach’s reasonable control.

Clients remain responsible for their own decisions. Momentum Coach may provide structure, analysis, preparation, education, documentation support, and advisory input, but the client retains responsibility for deciding whether and how to act.
Where a legal, medical, psychological, financial, tax, accounting, fiduciary, or regulated professional judgment is required, the client must consult the appropriate licensed professional.

In the event of any dispute arising from these Terms of Use:
Disputes will be governed by the laws of Ontario, Canada.
Parties agree to attempt resolution through negotiation or mediation before seeking formal legal proceedings.
Where arbitration is required, it shall be conducted in Toronto, Ontario, following applicable laws.

Unless otherwise specified, the information and materials presented on the Platforms are provided solely to promote Momentum Coach’s coaching services, wellness retreats, digital products, and related offerings. In certain cases, the Platforms may also present services or products available for purchase through various means. Momentum Coach makes no representation that Momentum Coach Material is appropriate or available for use in every country. You are responsible for ensuring compliance with applicable local laws, as access to Momentum Coach Material may not be legal for certain individuals or in certain jurisdictions. While our coaching services and digital products are accessible globally, some offerings—such as concierge coaching, retreats, or corporate programs—may not be available in all regions.
If any provision, or part of a provision, of these Terms of Use is found to be illegal, invalid, or unenforceable, that provision or part-provision shall be deemed not to form part of these Terms of Use, and the legality, validity, or enforceability of the remainder of the provisions shall not be affected, unless otherwise required by applicable law.

These Terms of Use shall be governed by and construed in accordance with the laws of Ontario, Canada, without reference to conflict of laws provisions. Any dispute, controversy, or claim arising out of or in relation to these Terms of Use, including the validity, invalidity, breach, or termination thereof, shall be adjudicated or arbitrated in accordance with these Terms.
