These Conditions of Sale apply to purchases, bookings, retainers, consultations, advisory services, digital products, templates, workshops, trainings, written deliverables, project-based services, and any other paid products or services offered by Momentum Coach, purchased via email, phone, or at an event outside of a Momentum Coach physical or virtual office (together referred to as the “Momentum Coach Boutique”).
Momentum Coach Inc. has its registered offices in Toronto, Ontario, Canada ("Momentum Coach," "we," "us," or "our").
By purchasing, booking, registering, or paying for any product or service with Momentum Coach, you agree to be bound by these Conditions of Sale, the Terms of Service, the Privacy Policy, and any written service agreement that applies.
Please read these Conditions of Sale carefully. These terms apply to all purchases made through Momentum Coach. If you do not agree to these Conditions of Sale, you will not be able to complete a purchase. Sales made through third parties, collaborations, online platforms, or in-person at physical locations may be subject to additional terms and conditions.

We may modify these Conditions of Sale from time to time. Any updates will be reflected in the latest version, which will be available on request. Changes made after you place an order will not affect that order, except as required by applicable law.

To place an order, you must:
Be at least 18 years old or the legal age of majority in your jurisdiction.
Have the legal capacity to enter into a contract.
Provide accurate, complete, and up-to-date information for all transactions.
Not purchase products or services for resale or commercial distribution, unless expressly authorized by Momentum Coach.
We reserve the right to refuse orders at our discretion if eligibility requirements are not met.

All Momentum Coach services and products are subject to availability.
We do not guarantee availability of any particular product or service at the time of order.
Certain services, including retreats and concierge coaching, may have limited availability and require an application or screening process.
We reserve the right to limit the quantity of services or products purchased per person, per order, or per group.
Workshops and trainings are educational and advisory in nature. They do not create a regulated professional relationship.
Momentum Coach may modify workshop content, format, timing, platform, or speaker arrangements where reasonably necessary.
Momentum Coach may refuse or remove participation where a participant disrupts the session, records without permission, harasses others, misuses materials, violates confidentiality, or engages in unsuitable conduct.

Momentum Coach offers customized packages, concierge coaching, digital programs, and personalized retreat experiences.
If a product or service includes personalized elements, such as custom scheduling, client assessments, or exclusive concierge features, we may require additional processing time.
Personalized services are non-refundable unless otherwise stated.
Momentum Coach may offer one-time sessions, consultation calls, advisory packages, retainers, written advisory work, workshops, trainings, digital products, templates, professional collaboration, litigation-support coordination, organizational advisory, and custom projects.
The scope of each service is limited to the description provided on the website, booking page, invoice, proposal, checkout page, or written agreement.
Any additional meetings, revisions, documentation, communications, professional coordination, urgent work, after-hours work, or expanded scope may require additional fees.

Placing an Order
Orders can be placed via email, phone, or other approved digital communication methods.
You will receive a summary of your purchase, including the total cost, estimated service timelines, and applicable terms.
By placing an order, you agree to these Conditions of Sale and our Privacy Policy.
Acknowledgment of Order
Once we receive your order request, we will send you an Order Acknowledgment email confirming receipt.
This acknowledgment does not confirm acceptance of your order.
Order Confirmation and Shipment
Once your order has been processed and approved, we will send a Confirmation Email with details on service commencement, access to digital products, or shipping (if applicable).

All prices are listed in CAD (Canadian Dollars) unless stated otherwise.
Prices are subject to change at any time before an order is confirmed. Price changes do not affect purchases already confirmed unless the client requests additional services or a change in scope.
Applicable taxes, service fees, or international charges may apply based on your location, and will be identified at checkout, invoice, proposal, or written confirmation where required.
If shipping is required (for physical items), shipping costs will be detailed at checkout.

Where a client purchases retainer-based services, the retainer terms will be set out in a written agreement, proposal, or invoice.
The retainer may specify scope, covered services, hourly rates, reporting expectations, communication channels, excluded services, replenishment requirements, billing increments, refund terms, and termination terms.
Retainer funds and prepaid fees are not law-firm trust funds. Momentum Coach is not a law firm and does not operate a lawyer trust account.
Momentum Coach does not guarantee availability for urgent requests.
Time-sensitive work, evening work, weekend work, court-adjacent deadlines, intensive preparation, high-volume document review, or rapid professional coordination may require written approval and additional fees, and are subject to availability.
Momentum Coach may decline urgent work where the timeline, scope, risk, or required professional involvement is unsuitable.

Payment is due at the time stated on the booking page, checkout page, invoice, proposal, or written agreement.
Momentum Coach may require full payment, partial payment, deposit, retainer, or recurring payment depending on the service.
We accept credit cards, bank transfers, and other approved payment methods.
Momentum Coach does not store payment information; payments are processed securely via third-party payment processors.
If a payment fails, your order may be canceled or delayed. Services may be suspended or withheld where payment is overdue, incomplete, reversed, disputed, or not successfully processed.
Payments may be processed by third-party payment providers. Momentum Coach does not intentionally store full payment-card information unless expressly stated by the payment processor or required for a specific authorized payment arrangement.
Third-party payment processors may have their own terms, privacy policies, security practices, and dispute procedures.

If any physical materials (such as workbooks) are included in your order, we will provide shipping details upon confirmation.
Momentum Coach is not responsible for delays due to shipping carriers, customs, or unforeseen circumstances.

Before purchase, Momentum Coach will provide or make available the relevant service description, price, currency, applicable taxes where required, payment terms, scheduling terms, cancellation terms, refund terms, service limitations, contact information, and any other material terms.
Clients are responsible for reviewing purchase information before confirming a booking or payment.
After purchase, Momentum Coach will provide written or electronic confirmation of the purchase, booking, agreement, invoice, or receipt.
If you require additional documentation (such as a receipt for business expenses), please contact us.

Booked services are subject to availability. A booking is confirmed only after the required booking steps and payment requirements have been completed.
Clients are responsible for attending scheduled sessions on time and ensuring that they have the required technology, internet connection, privacy, documents, and professional support necessary for the session.
Momentum Coach is not responsible for missed sessions caused by client delay, client technology problems, incorrect booking information, failure to attend, or failure to provide required materials.

Unless a booking page, event page, invoice, proposal, or written agreement states otherwise, advisory sessions may be rescheduled with at least 24 hours’ notice.
Missed sessions or cancellations with less than 24 hours’ notice may be charged in full.
Repeated missed sessions, late cancellations, or scheduling disruptions may result in suspension or termination of services.
Cancellation terms depend on the service purchased.
For one-time advisory sessions, cancellations made with at least 24 hours’ notice may be eligible for rescheduling or credit, subject to availability.
For packages, retainers, custom work, professional collaboration, litigation-support coordination, or project-based work, cancellation terms are governed by the written proposal, invoice, or service agreement.
For workshops, trainings, and live events, cancellation terms will be stated on the event page or registration page. If no specific event policy is stated, registration fees are non-refundable within 7 days of the event but may be transferred to another eligible participant with written approval from Momentum Coach.

Coaching Services & Digital Products: Non-refundable once access has been granted.
Concierge Packages & Retreats: Refunds are subject to the cancellation policy outlined at the time of booking.
Physical Products (if applicable): Eligible for returns/exchanges within 30 days of receipt, provided they are in unused condition.
Refund eligibility depends on the product or service purchased.
Digital products, templates, downloads, recordings, written resources, and immediately accessible materials are final sale once accessed, downloaded, delivered, or made available, unless otherwise required by law.
Custom advisory work, written deliverables, retainers, project work, and counsel-directed support may be non-refundable once work has commenced, subject to the written agreement and applicable law.
Momentum Coach may issue a partial refund, credit, or rescheduling option at its discretion where appropriate.
These Conditions of Sale do not limit non-waivable consumer protection rights.

Our coaching services, retreats, and digital products are offered as-is, with no guarantees of specific outcomes.
Where applicable, any guarantees on physical products will be provided at the time of purchase.
These terms do not override consumer protection laws in your jurisdiction.
Digital products and templates are provided for general informational, educational, strategic, or organizational purposes.
Digital products and templates do not constitute legal advice, clinical advice, medical advice, financial advice, tax advice, accounting advice, psychological assessment, or fiduciary advice.
Clients are responsible for obtaining review from a licensed professional before using any template, document, or resource in a legal, clinical, financial, organizational, or high-risk context.

Certain purchases may include bonus sessions, digital downloads, or premium access.
These complimentary services are non-transferable and have no cash value.

Any repair or replacement requests for physical products must be submitted within 30 days of purchase.
Service fees may apply for repairs beyond the stated warranty period.

If a purchase is marked as a gift, the recipient may request exchanges in accordance with our Returns Policy.

We strive for accuracy in product and service descriptions, but we do not guarantee that descriptions, pricing, or availability are error-free.
If an error is found, we will correct it as soon as possible.

Momentum Coach is not responsible for indirect, incidental, or consequential damages related to the use of our services.
Coaching services do not replace medical, legal, financial, or psychological advice.
We are not liable for results that differ from client expectations.
Purchasing a service or product from Momentum Coach does not guarantee any legal, court, settlement, family, estate, health, emotional, financial, business, employment, organizational, professional, or third-party outcome.

Momentum Coach reserves the right to refuse service to anyone for any reason, at any time.
Failure to enforce any term of these Conditions of Sale does not constitute a waiver of our rights.
If any provision is found to be unenforceable, the remainder of these terms will still apply.
Momentum Coach may refuse, cancel, suspend, or terminate an order, booking, or engagement where there is a conflict of interest, potential conflict of interest, suspected fraud, non-payment, misuse of services, safety concern, professional boundary concern, unlawful purpose, inappropriate request, unclear authority, regulatory concern, or poor service fit.
Where payment has been made and services have not commenced, Momentum Coach will determine whether a refund, credit, or other resolution is appropriate based on the circumstances, written agreement, and applicable law.

These Conditions of Sale are governed by the laws of Ontario, Canada.
Disputes shall be resolved in Toronto, Ontario through negotiation, mediation, or arbitration where applicable.
Consumers outside Canada may be entitled to protections under their local laws.
Clients are responsible for ensuring that they have authority to purchase services, provide documents, disclose information, authorize communication, and involve third parties.
Where a client requests work involving another person, a minor, a family member, a professional, an organization, an estate, a legal matter, or a third-party record, Momentum Coach may require confirmation of authority before proceeding.
